Online Community Terms and Conditions
- These Terms and Conditions (“Terms”) govern the relationship between you (referred to as “User”) and Infinite Ties, LLC (“Company”) with respect to your access to and use of the Online Community, which forms part of the software-as-a-service (“SaaS”) platform offered by Company under the terms and conditions of the Master SaaS Agreement (“Master Agreement”). Capitalized terms used herein but otherwise not defined, shall have the mean ascribed to them in the Master Agreement.
- Your participation in and use of the Online Community is conditional upon your prior acceptance of the Master Agreement and these Terms. In the event of any conflict between these Terms and the Master Agreement, the terms of the Master Agreement shall prevail.
- By accessing or using the Online Community, you expressly acknowledge that you have read, understood, and agree to be bound by these Terms and the Master Agreement, as may be amended from time to time, without limitation or qualification.
- The Online Community is a platform that facilitates the exchange of information and discussions between accounting professionals, including but not limited to accountants, accounting firms, and other similar users (“Participants”). Any opinions, advice, statements, or other information shared by Participants within the Online Community are solely those of the respective Participants and do not reflect the opinions, advice, or endorsements of Company.
- Company does not warrant or guarantee the accuracy, completeness, or reliability of any information provided by Participants within the Online Community. The content shared by Participants is not vetted, endorsed, or verified by Company, and Company expressly disclaims all responsibility for such content.
- User acknowledges that any reliance on information or content posted by Participants within the Online Community is at User’s own risk. The Online Community is not intended to serve as a substitute for professional advice, including but not limited to legal, accounting, or tax advice. You agree to seek independent legal, accounting, or other professional advice before making any decisions or taking actions based on information obtained from the Online Community.
- THE ONLINE COMMUNITY IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. COMPANY MAKES NO WARRANTY THAT THE ONLINE COMMUNITY WILL MEET YOUR REQUIREMENTS, BE AVAILABLE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
- Company has not reviewed, and cannot review, all of the material, posted on the Online Community or System, by third parties. By linking to a non-Company website or webpage, Company does not represent or imply that it endorses such website or webpage. You are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content. Company disclaims any responsibility for any harm resulting from your use of non-Company websites and webpages.
To foster a positive, professional, and collaborative environment, all Users must comply with the following Community Rules when participating in the Online Community. Any violation of these rules may result in the suspension or termination of your access to the Online Community, as further described in Section 4.
- No Solicitation or Commercial Activities. Users are strictly prohibited from using the Online Community for the purpose of soliciting, advertising, or promoting any commercial products or services. This includes direct solicitation (e.g., advertising your own business or services) as well as indirect solicitation (e.g., posting links to promotional content or affiliate programs). Any form of commercial self-promotion is strictly forbidden.
- Professional Conduct and Respectful Behavior. Users are required to maintain a respectful and professional tone in all interactions within the Online Community. The following behaviors are strictly prohibited:
- Harassment and Discrimination: Harassment, intimidation, or any form of discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic will not be tolerated.
- Offensive Language and Content: The use of profanity, obscene, offensive, or otherwise inappropriate language or imagery is strictly prohibited. This includes posting content that is violent, graphic, or otherwise harmful, or unlawful, as well as political statements.
- Personal Attacks: Users shall refrain from making personal attacks, malicious criticisms, or inflammatory comments directed at other Participants, Company, or any third parties.
- Spam and Disruptive Behavior: Posting irrelevant content, spamming discussions with repetitive or promotional messages, or engaging in any other disruptive conduct is prohibited. Content must not be spam, machine or randomly-generated, or contain unethical or unwanted commercial content designed to drive traffic to third-party sites, boost search engine rankings, further unlawful acts (such as phishing), or mislead recipients as to the source of material (such as spoofing).
- Accuracy in Technical Content: For content that includes computer code, you must accurately categorize and describe the type, nature, uses, and effects of the material, whether requested to do so by the Company or not.
- Misleading Identifications: Posts or content should not be named or presented in a way that misleads readers into believing you represent another person or company. For instance, your post’s URL or name must not mimic a person or organization other than your own.
- Compliance with Applicable Laws. Users must comply with all applicable laws and regulations when participating in the Online Community, including but not limited to intellectual property laws, privacy laws, and laws governing online conduct.
- Right to Monitor and Moderate. Company reserves the right, but is not obligated, to monitor and moderate all content posted within the Online Community. Company may remove, edit, or modify any content that, in its sole discretion, violates these Terms, the Master Agreement, or any applicable laws or regulations.
- Warnings and Suspension of Access. Company may, in its sole discretion, issue warnings to Users who violate the Community Rules. Repeated or egregious violations may result in the temporary suspension or permanent termination of a User’s access to the Online Community.
- Termination of Account. Company reserves the right to terminate a User's access to the Online Community at any time, with or without notice, for violations of these Terms, violations of the Master Agreement, or for any other reason, as determined in Company's sole discretion. Termination of access to the Online Community shall not relieve User of any obligations under the Master Agreement, nor shall it entitle User to any refund of fees paid to Company under the Master Agreement.
- Governing Law and Jurisdiction. These Terms, and any disputes arising out of or related to them, shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. The exclusive jurisdiction and venue for any disputes arising under or out of these Terms shall be the state courts located in the City and County of Denver, Colorado, and you hereby consent to the personal jurisdiction of such courts.
- Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be deemed modified to the extent necessary to make it enforceable, or, if necessary, severed from these Terms, and the remaining provisions shall remain in full force and effect.
- Modifications. Company reserves the right to modify or update these Terms at any time. In the event of any material changes to these Terms, Company will notify Users via the Online Community platform or by other means reasonably calculated to reach Users. Continued use of the Online Community following such modifications constitutes acceptance of the updated Terms.
- Entire Agreement. These Terms, together with the Master Agreement, constitute the entire agreement between you and Company with respect to your access to and use of the Online Community and supersede all prior or contemporaneous agreements, understandings, representations, or warranties, whether written or oral, related to the subject matter hereof.
BY CLICKING “I AGREE” OR OTHERWISE ACCESSING OR USING THE ONLINE COMMUNITY, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.
